End-User License Agreement

1. Application and operator

"Application" means the Kona Cash Pipeline software, a private, single-tenant accounting data pipeline. "Operator" means Nickles Arcade LLC, the sole party that develops, deploys, and uses the Application. The Application is operated solely for the internal business needs of the Operator and is not distributed, licensed, or made available to any third party.

2. License grant

Subject to this Agreement, the Operator grants itself a limited, non-transferable, internal-use right to install and run the Application on hardware that the Operator controls, for the sole purpose of reading the Operator's own accounting data from QuickBooks Online and producing internal cash-position reports.

3. Restrictions

  1. The Application may not be sublicensed, sold, rented, leased, or otherwise transferred to any third party.
  2. The Application may not be used to access accounting data of any QuickBooks Online company that is not owned and controlled by the Operator.
  3. Output of the Application (cash positions, reports, derived metrics) is for internal use only and may not be redistributed outside the Operator's organization without separate written authorization from the Operator.
  4. The Application may not be modified to write to, mutate, or otherwise change data inside QuickBooks Online. All access is read-only by design.

4. Third-party services

The Application uses the Intuit QuickBooks Online Accounting API under the com.intuit.quickbooks.accounting OAuth scope to read accounting reports. Use of the Intuit API is governed by Intuit's own terms, which the Operator agrees to follow as a condition of using the Application.

5. No warranty

THE APPLICATION IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. The Operator assumes all risk for use of the Application and the accuracy of its outputs.

6. Limitation of liability

In no event shall the Operator be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to the Application, even if advised of the possibility of such damages.

7. Termination

This Agreement is effective until terminated. The Operator may terminate it at any time by uninstalling the Application and revoking its OAuth access in QuickBooks Online. All rights granted under this Agreement terminate automatically on termination.

8. Governing law

This Agreement is governed by the laws of the jurisdiction in which the Operator maintains its principal place of business, without regard to conflict-of-laws principles.

9. Changes

The Operator may update this Agreement from time to time by posting a revised version at this URL. Continued use of the Application after posting constitutes acceptance of the updated terms.
